Recently, the Wall Street Journal had an article provocatively titled, Rooms With a Bubble View: Condo-Hotel Buyers See Investments Sour as the Market Weakens. The article characterizes condo-hotels as “one of the most dangerous investments of them all,” and then briefly discusses some of the lawsuits being brought against condo hotel developers in places like Las Vegas, Singer Island and Clearwater. The basis for all of these lawsuits is that the properties were marketed in such a way as to qualify as “securities” under federal and/or state law, but were not registered as a securities offering, thus entitling the buyers to a refund of their deposits. If the allegations can be proven, then the remedy is potent indeed: as one attorney quoted in the Wall Street Journal article accurately states, “The rights of recovery are so much better if you can say it is a security.”

It is correct to hone in on securities laws as a potentially powerful weapon for purchasers of condo-hotels to seek rescission of their purchase agreements. To a significant extent, however, the course that condo-hotel litigation will take – and how such cases will be viewed and ruled upon by courts – is difficult to predict. Case law addressing the issue of the conditions under which a condo-hotel constitutes an offering of securities and should be registered as such is thin — in fact, non-existent, for all intents and purposes. The most important guidance comes from a 1973 Release from the Securities and Exchange Commission (SEC) entitled Guidelines as to the Applicability of the Federal Securities Laws to Offers and Sales of Condominiums or Units in a Real Estate Development (SEC Release No. 33-5347).

The Release sets forth three broad factors, the presence of any one of which could render a condo-hotel as a securities offering, thus triggering the right of a buyer to seek rescission under securities law. These factors are:

1. The condominiums, with any rental arrangement or other similar service, are offered and sold with emphasis on the economic benefits to the purchaser to be derived from the managerial efforts of the promoter, or a third party designated or arranged for by the promoter, from rental of the units.

2. The offering of participation in a rental pool arrangement; and

3. The offering of a rental or similar arrangement whereby the purchaser must hold his unit available for rental for any part of the year, must use an exclusive rental agent or is otherwise materially restricted in his occupancy or rental of his unit.

The Release itself contains some, but not a great deal of, elaboration concerning what these three factors mean in practice. For example, a rental pool is defined as a rental system whereby “[t]he rents received and the expenses attributable to rental of all the units in the project are combined and the individual owner receives a ratable share of the rental proceeds regardless of whether his individual unit was actually rented.” For more helpful detail, however, one must turn to the SEC “No-Action Letters” on the subject of what constitutes a security for regulatory purposes. No-Action Letters are prepared by the SEC in response to formal requests from entities asking whether a given set of facts would trigger enforcement action by the agency.

The SECs position (i.e., whether or not it would recommend an enforcement action with respect to the preferred facts) is only binding as to the specific inquiry before it. While No-Action Letters provide some guidance on how a court might rule if faced with similar or even identical issues, it is important to bear in mind that the SECs stated position as to a given set of facts would be persuasive, but not binding, upon a court.

Beyond the SEC Release and No-Action Letters, when it comes to legal analysis of the salient issues bearing on how securities law interacts with the offering of condo-hotels, nearly all of the analysis comes from developer-side attorneys seeking to advise their clients how to structure their projects so as to minimize the risk of coming under SEC scrutiny, or positing how local authorities can enact zoning regulations which lessen securities regulation hazards for condo-hotel developers.

Given the impending wave of condo-hotel litigation that we can surely expect in the coming months owing to buyers looking to recover their deposit monies (and paralleling the tsunami of “plain vanilla” condo buyer lawsuits), the perspective from developer-side attorneys will surely be helpful for predicting what twists and turns such litigation might take. But to get a true picture of what is on the horizon, it will be necessary to take a close and critical look at the relevant No-Action Letters as well as case law addressing the issue of what can constitute a security, generally speaking, in order to identify the pressure points which may exist for condo-hotel buyers (and their attorneys) to push in litigating rescission cases.

Over the years, a large volume of literature has

been devoted to the structure of the family in America. Prior to the sexual revolution of the late 1960s the traditional family unit was a mother, a father, and children.

However, as the divorce rate has climbed to over fifty-percent, so has the structure of the family evolved into a myriad of single parent families and blended families. Things are not quite so simple as in the days of “Father Knows Best” and “Leave it to Beaver”.

There is a growing body of work describing the psychological and sociological adjustments of the adoptive family, the adoptee, and to a lesser extent, the birth parents who relinquished their child for adoption either by choice or by unavoidable circumstances.

Interestingly, there has been very little attention paid to orphans who were never adopted.

In the film, “The Cider House Rules”, the lead character Homer was adopted several times only to be returned because he was either too “quiet” for one couple or abused by another.

Therefore, Homer grew up in the orphanage never again to be adopted. Instead, he was trained by the physician who operated the home” to be an unofficial doctor who either provided abortions or helped babies into the world to be adopted.

At one point in the film Homer was trying to provide comfort to another orphan named Curly. It seemed Curly could not understand why prospective adoptive parents who came to look at the children in the orphanage never chose him.

Homer explained to Curly that he was “much too special to be adopted by just anyone”. Only a very special family could have Curly. It was never made apparent if Curly ever believed Homers attempt to ameliorate the little boys pain.

What happens to orphans who are not chosen for adoption? Where do they go? What do they do?

Back in the late 1960s a considerable number of orphans, upon reaching their late teens, were asked to drop out of school and join the military. It was easier to supervise smaller kids than it was older kids with raging hormones.

Some orphans did drop out of school and worked full-time jobs. Most were drafted and sent off to Vietnam.

Maybe an unknown number of orphans were able to struggle long enough to finish high school. Possibly, there were a smaller group who applied to colleges. Perhaps an infinitesimal number even graduated from college and went on to successful jobs or careers.

The difficulty is the dearth of documentation in regards to how many kids left orphanages without being adopted and were able to lead a productive life. Did they manage to finish their formal education? Did they develop an entrepreneurial acumen to become successful business people? Were they prosperous at love, marriage and parenting?

So very little is known about these individuals and even less is understood about what life was like for them that they might as well have been from another universe.

Would most people who had parents, either by birth or adoption, understand these individuals?

When asked, most cannot imagine life without a family. They have never thought about how it would feel to be alone on Thanksgiving or Christmas, or worse, to be alone on their birthday.

There needs to be more anecdotal research on young men and women who leave orphanages without benefit of a family or a parent to guide them on their pathway to adulthood. Did any succeed, or did most fail? Did they perpetuate the circle of life and create kids only to abandon them to grow up in orphanages themselves?

Maybe they continued in their quest for belonging by working their way through college and possibly graduate school. It is possible that some of them could have waited for the right marriage partner to come along and found fulfillment in being a life-long loving spouse as well as a devoted mother or father determined to be all they could imagine, or what God wanted them to be.

It could be enlightening to many to know what it would be like to be a citizen of another universe.

Healthcare reform is a very controversial issue. Much of the conflict comes from the health insurance mandate, which requires that everyone with earnings over a certain income level either buy health coverage or pay a fine. Supporters think that doing so is necessary to get a higher percentage of healthier policyholders in the fold, leading to more affordable health insurance. Opponents, on the other hand, believe that it is an unconstitutional violation of states rights.

Legal experts are conflicted on how the mandate issue will play out. The commerce clause of the Constitution allows the federal government to regulate interstate commerce. The Obama administration and Democrats in Congress no doubt had analysts poring over the legislation in order to avoid having it revoked after a bruising political battle. They knew that the Republican party would be looking to poke holes in its logic, so their legal argument would presumably be air-tight. For example, they refer to the penalty as an excise tax, because such taxes typically enjoy more protection under the Constitution.

However, that has not stopped a coalition of states–which has now grown to 20 governors and attorneys general–from filing a lawsuit immediately after President Barack Obama signed the bill. It began with Florida Attorney General Bill McCollum, and has only continued to grow. Several other lawsuits have been filed, but this is the one receiving the most press.

Virtually all of the government officials involved in the lawsuit are Republicans. The one exception is a Democratic attorney general, who was heavily pressured by a Republican governor. There is most likely a political grandstanding element to their action–many of them are running for re-election or higher office, and participating in the lawsuit against the unpopular healthcare reform law shores up their conservative credentials for primary season.

Although it is easy to dismiss the suit as partisan theater and a waste of taxpayers money, some legal scholars are considering the possibility that there may be some merit to it. Specifically, it remains to be seen whether the Supreme Court would rule that Congress is allowed to regulate inactivity, as opposed to activity, in commerce. If they are, some fear that it would lead to a slippery slope of mandates: would all Americans be forced to purchase a U.S. car if it is deemed to be for the greater good, as the mandate is purported to increase the availability of affordable health insurance? In the case that they are not, it has the potential to topple the entire structure of reform–not to mention federal authority altogether.

A handful of experts believe that the issue wont even reach the highest court, since the state governments themselves are only indirectly affected by that provision of health insurance reform. In that case, there will probably be a sufficient number of individual Tea Party volunteers who would have standing to sue. In September, the Justice Department is scheduled to make a motion to dismiss the lawsuit in the 11th Circuit of the United States Court of Appeals. Since that circuit tends to be conservative, the case has a good chance of continuing past that point.

If the suit reaches the Supreme Court, it will probably take several years to do so. By then, President Obama will have appointed a second nominee to the Supreme Court. Whether or not the newest justice is Elena Kagan remains to be seen, but whoever he picks will most likely be sympathetic to one of his key domestic issues.
